Intellectual Property & Usage Rights
1.1 Intellectual Property Ownership
All course materials, training content, videos, text, graphics, assessments, AI-generated summaries, interactive chatbots, slide decks, software, trademarks, and logos provided by emPower eLearning (collectively, the “Content”) are the exclusive property of emPower eLearning or its licensors. These materials are protected by United States and international copyright, trademark, and other intellectual property laws.
1.2 Limited License to Use Content
Subject to the payment of applicable fees and compliance with these Terms, emPower eLearning grants users a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Content and emPower AI Learning Assistant features. This license is granted solely for the user’s personal or internal professional training purposes.
1.3 Restrictions on Use
Users may not copy, reproduce, distribute, transmit, publicly display, perform, modify, adapt, translate, sell, license, sublicense, create derivative works from, or otherwise exploit any Content, in whole or in part, without the prior written consent of emPower eLearning.
1.4 Prohibited Activities
Users are strictly prohibited from:
- AI Data Mining: Using the Content to train external large language models (LLMs) or machine learning algorithms.
- Automated Scraping: Recording, screen-capturing, downloading, or scraping Content via automated scripts or bots.
- Credential Sharing: Sharing login credentials with unauthorized third parties.
- Proprietary Removal: Removing or altering any copyright, trademark, or other proprietary notices contained in the Content.
2. User Content & AI Interaction
2.1 User-Provided Content & AI Inputs
Users retain ownership of any data or proprietary materials they upload. By submitting content, users grant emPower eLearning a limited, non-exclusive license to use such content solely for the purpose of providing, maintaining, and improving the training services, including:
- Generating personalized AI-driven course recommendations.
- Generating compliance and progress reports.
- Refining the accuracy of the AI Learning Assistant for the user’s specific organization.
2.2 Copyright Infringement (DMCA Notice)
emPower eLearning respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). Copyright infringement notices must include identification of the copyrighted work, the allegedly infringing material, contact information, and a statement made under penalty of perjury.
3. Privacy & Data Security
3.1 Data Privacy and AI Processing
emPower eLearning is committed to protecting user data. When interacting with the AI Learning Assistant, users acknowledge:
- Data Usage: Inputs are processed to facilitate the user's learning experience and administrative tasks.
- Non-Training Policy: emPower eLearning does not use proprietary customer data or sensitive employee inputs to train global AI models.
3.2 Data Isolation and Security
- Tenant Isolation: All learner data and AI interactions are logically isolated to ensure one organization's data is never accessible to another.
- Encryption: Data is encrypted both in transit (TLS 1.2+) and at rest.
- Compliance Standards: The platform is designed to handle data in alignment with HIPAA, GDPR, and other industry-specific security protocols.

Scope & Roles
- Website visitors & demo users: emPower acts as a data controller
- Enterprise SaaS users (employees/learners): emPower acts as a data processor on behalf of the customer (the controller)
- Enterprise customers (admins, buyers): emPower acts as a data controller Processing of enterprise data is governed by applicable Data Processing Agreements (DPAs).
Information We Collect
2.1 Information You Provide
- Contact details (name, work email, job title)
- Account credentials
- Communications and support requests
- Content uploaded to the platform (training inputs, documents, assessments)
- AI Learning Assistant prompts and interactions
2.2 Information Collected Automatically
- IP address, device type, browser
- Log files, timestamps, session metadata
- Usage and performance data
- Cookies and similar technologies (see Section 9)
2.3 Enterprise-Provided Information
- Employee identifiers (name, role, department)
- Training records, completion status, scores
- Compliance and audit-related data uploaded by the customer
How We Use Information
We use information to:
- Provide, operate, and maintain the platform
- Deliver personalized training and AI-assisted learning features
- Generate compliance, progress, and administrative reports
- Authenticate users and prevent unauthorized access
- Improve platform performance and security
- Communicate service updates and notices
- Comply with legal and regulatory obligations
AI Processing Notice: Inputs to the AI Learning Assistant are processed to provide contextual learning support and internal reporting. Proprietary customer data and sensitive employee inputs are not used to train public or third-party AI models.
Legal Bases for Processing (GDPR)
Where applicable, processing is based on:
- Performance of a contract
- Legitimate interests (platform security, fraud prevention, service improvement)
- Compliance with legal obligations
- Consent, where required. Legitimate interests are balanced against user rights and expectations.
Sharing & Disclosure

- Authorized service providers and sub-processors under contractual confidentiality and data-protection obligations
- Cloud hosting, analytics, support, and AI infrastructure providers
- Regulatory authorities where required by law
- Successors in the event of a merger, acquisition, or asset sale. Sub-processors are restricted from using data for their own purposes.
AI, Automation & Human Review
emPower uses AI-driven systems to:
- Recommend training paths
- Analyze progress and completion trends
- Assist with compliance insights
Where automated systems materially affect training access or assessment outcomes, users may request human review, where applicable.
Data Retention
We retain information only as long as necessary for:
- Contractual obligations
- Legal and regulatory requirements
- Legitimate business purposes
Retention periods may vary based on customer instructions, industry requirements, or statutory mandates. Upon termination, enterprise data is deleted or returned in accordance with the applicable agreement.
Security Measures
We implement reasonable administrative, technical, and physical safeguards, including:
- Encryption of data in transit and at rest
- Logical tenant isolation for enterprise customers
- Access controls and authentication mechanisms
- Continuous monitoring and security reviews
No system is completely secure, but we maintain safeguards appropriate to the nature of the data.
